HIDEit Mounts specializes in the production and sale of metal mounts for consumer and industrial markets. B2B Account Holder desires to purchase and/or market HIDEit Mounts products according to the terms outlined below.

In consideration of the mutual promises and covenants contained herein, HIDEit Mounts (hereinafter referred to as “HIDEit”) and B2B Account Holder (hereinafter referred to as “B2B Customer”) agree to the following:

PRICING AND DISCOUNTS

The wholesale pricing for HIDEit products can be viewed once the B2B Customer receives an active B2B Account and logs into that account through the provided email link.  HIDEit reserves the right to update the Wholesale Price List with new products and prices without notice.

1. B2B Customer is responsible for checking hideitmounts.com for current products and pricing.
2. Orders of over 100 units are subject to a 3% credit card processing fee.
3. B2B Customer Minimum Advertised Price cannot be lower than 20% of the advertised retail price on HIDEit’s direct website hideitmounts.com.

PRODUCT LISTING AND DESCRIPTION

B2B Customer agrees to list and feature HIDEit products only on their direct website(s).

HIDEit shall provide B2B Customer with accurate product descriptions, specifications, and images to be used for listings. Any changes made to the product descriptions and/or images shall require confirmation from HIDEit before they are implemented on B2B Customer’s website.

RESELLING ON ECOMMERCE CHANNELS

HIDEit holds the exclusive right to the resale and listing of all products under the HIDEit Mounts brand on third party e-commerce (or price bidding) platforms, including but not limited to Amazon.com, Amazon.ca, Amazon.co.uk and other Amazon channels (collectively, “Amazon”), Ebay, Walmart, or B&H Photo.

HIDEit reserves the right to cancel B2B Customer’s Account without notice if HIDEit has reason to believe that the B2B Customer has violated the above conditions.

RETURNS

All products must be returned or exchanged within 30-days of receipt. 

1. Products returned after 30-days may receive a credit at HIDEit’s discretion. 
2. Subject to the foregoing, returns or exchanges of 25 or more units will be subject to an automatic 30% restocking fee based upon the actual price paid for the units which will be deducted from the return, exchange price, or credit. 
3. HIDEit will not accept returns of custom manufactured brackets or custom orders of discontinued items.

ADVERTISING

Upon creation of an active B2B Account, B2B Customer shall be entitled to advertise itself as an “Authorized Reseller” of HIDEit products.  B2B Customer shall use the HIDEit Mounts Trademarks in all advertisements and other activities conducted by B2B Customer to promote the sale of HIDEit products.

The B2B Customer agrees that all advertising shall follow the HIDEit brand guidelines and be provided to HIDEit for approval prior to publication, and that HIDEit may reject the publication of any advertising at their sole discretion.

INTELLECTUAL PROPERTY

HIDEit retains all rights, title, and interest in the intellectual property associated with its products, including but not limited to trademarks, copyrights, and trade secrets.

TERMINATION

HIDEit reserves the right to terminate wholesale account access at anytime and for any reason.

In the event of account termination, B2B Customer agrees to remove any and all HIDEit intellectual property including but not limited to trademarks, copyrights, product images, product listings, logos, etc., from its website(s) and social media within 30 days of termination.  Failure to do so will be considered a material breach of this Agreement.
